BY ACCESSING, BROWSING, OR OTHERWISE USING THE WEBSITE AT THE DOMAIN SECURITY.GY (HEREINAFTER, THE "SITE") OPERATED BY RK'S GUYANA SECURITY SERVICES (HEREINAFTER, THE "COMPANY"), YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS SET OUT HEREIN AND THAT YOU AGREE TO BE BOUND BY THEM IN THEIR ENTIRETY AND WITHOUT QUALIFICATION. IF YOU DO NOT AGREE, YOU SHALL NOT ACCESS OR USE THE SITE AND SHALL HAVE NO RIGHTS HEREUNDER. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN THE USER AND THE COMPANY GOVERNING THE USER'S ACCESS TO AND USE OF THE SITE, AND ARE SUBJECT TO AMENDMENT, REPLACEMENT, OR SUPPLEMENTATION BY THE COMPANY AT ANY TIME AND FROM TIME TO TIME WITHOUT NOTICE, WITH OR WITHOUT CAUSE, IN THE EXERCISE OF ITS SOLE AND ABSOLUTE DISCRETION. THE CURRENT VERSION SHALL AT ALL TIMES BE THAT VERSION WHICH IS PUBLISHED AT THE UNIFORM RESOURCE LOCATOR DESIGNATED FOR THIS PURPOSE BY THE COMPANY. CONTINUED USE OF THE SITE FOLLOWING ANY SUCH AMENDMENT, REPLACEMENT, OR SUPPLEMENTATION SHALL CONSTITUTE THE USER'S ACKNOWLEDGEMENT AND ACCEPTANCE OF THESE TERMS AS SO AMENDED, REPLACED, OR SUPPLEMENTED, WHETHER OR NOT THE USER HAS READ OR HAD THE OPPORTUNITY TO READ THE SAME. SECTION 1. DEFINITIONS. 1.1 The "Company" means RK's Guyana Security Services, a business registered under the Business Names (Registration) Act of the Co-operative Republic of Guyana, Certificate No. 58771, with its registered office at Lot 125 E 1/2, Regent Road, Bourda, Georgetown, Guyana, and its successors and permitted assigns. 1.2 The "Site" means the website operated by the Company at the domain security.gy, together with any subdomain thereof and any related infrastructure operated by the Company in connection therewith, as the same may exist from time to time. 1.3 The "User" or "you" means any individual or entity that accesses, browses, or otherwise uses the Site, whether on the User's own behalf or on behalf of another, and whether or not the User has independently agreed to these Terms. 1.4 "Content" means all material made available on or through the Site, including without limitation text, graphics, photographs, logos, marks, designs, layouts, software, and any other material in whatever form. 1.5 "Marks" means the names, marks, designs, and other indicia of source used by the Company, including without limitation the name "RK's Guyana Security Services" and any logo, device, or design associated therewith. 1.6 Words importing the singular shall include the plural and vice versa; words importing one gender shall include all genders; references to any statute, regulation, or other instrument shall be construed as references to such statute, regulation, or instrument as amended, replaced, or supplemented from time to time; and the headings used herein are for convenience only and shall not affect the construction of any provision. SECTION 2. ACCEPTANCE AND ELIGIBILITY. 2.1 The User affirms that the User is of legal age in the User's jurisdiction and has full legal capacity to enter into and be bound by these Terms. 2.2 Where the User accesses or uses the Site on behalf of an entity, the User affirms that the User has full authority to bind such entity to these Terms, and references to "the User" shall be construed accordingly. 2.3 The Company may, in its sole and absolute discretion, refuse to make the Site available to any person, restrict any person's access to the Site in whole or in part, or terminate any person's right to use the Site, at any time and from time to time, with or without notice and with or without cause. SECTION 3. PERMITTED USE. 3.1 The User may access and use the Site solely for lawful informational purposes connected with the User's interest in the services of the Company. 3.2 The User shall not, and shall not attempt to, and shall not authorise or permit any other person to: (a) access, copy, scrape, harvest, mirror, or otherwise extract Content or data from the Site by automated or systematic means; (b) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source, structure, or operation of the Site or any part thereof; (c) interfere with, disrupt, or impose an unreasonable load upon the Site or the infrastructure upon which it is operated; (d) probe, scan, or test the vulnerability of the Site or attempt to bypass any security or access-control mechanism; (e) introduce any virus, worm, malware, or other code or material of a malicious or disruptive character; (f) use the Site in connection with any unlawful, fraudulent, deceptive, harmful, harassing, or otherwise objectionable activity; (g) impersonate any person or misrepresent any affiliation with any person; (h) collect, harvest, or extract Personal Information of any other person through the Site; or (i) use the Site in any manner that is inconsistent with these Terms or with any guidance issued by the Company from time to time. 3.3 The enumeration set forth in Clause 3.2 is illustrative and not exhaustive, and the Company reserves the right to determine, in its sole and absolute discretion, that any other use of the Site is impermissible. SECTION 4. INTELLECTUAL PROPERTY. 4.1 The Site and the Content, including without limitation all copyright, trade-mark, service-mark, design, database, and other intellectual property rights subsisting therein, are owned by or licensed to the Company and are protected by the laws of the Co-operative Republic of Guyana and of other jurisdictions, and by international convention. 4.2 No right, title, or interest in or to the Site, the Content, or the Marks is granted to the User by reason of the User's access to or use of the Site, save for the limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and view the Content for the User's personal informational purposes in accordance with these Terms. 4.3 The User shall not reproduce, republish, distribute, transmit, display, perform, modify, adapt, translate, create derivative works of, frame, link to in a manner inconsistent with these Terms, or otherwise exploit the Site, the Content, or the Marks, in whole or in part, without the prior written consent of the Company, which the Company may grant or withhold in its sole and absolute discretion. 4.4 Any unauthorised use of the Site, the Content, or the Marks may constitute an infringement of the Company's rights and may give rise to civil or criminal liability under applicable law. SECTION 5. NO PROFESSIONAL ADVICE OR ENGAGEMENT. 5.1 The Content is provided for general informational purposes only and does not constitute professional, security, legal, financial, or any other advice on which the User should rely. 5.2 The User's access to or use of the Site does not create any contractual, fiduciary, or other relationship between the User and the Company, and shall not constitute an offer or acceptance of any service or engagement. 5.3 Any prospective engagement of the Company shall be governed exclusively by such written agreement as may be entered into between the User and the Company for such purpose. SECTION 6. NO WARRANTY. 6.1 THE SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. 6.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES IN RELATION TO THE SITE AND THE CONTENT, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, OR FREEDOM FROM ERROR, INTERRUPTION, OR HARMFUL CODE. 6.3 WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE COMPANY MAKES NO REPRESENTATION OR WARRANTY THAT THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR AT ALL, THAT THE CONTENT IS OR WILL REMAIN ACCURATE OR CURRENT, THAT ANY DEFECT WILL BE CORRECTED, OR THAT THE SITE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. SECTION 7. LIMITATION OF LIABILITY. 7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE TO THE USER OR TO ANY OTHER PERSON FOR ANY LOSS, DAMAGE, COST, EXPENSE, OR LIABILITY OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USER'S ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR THE CONTENT, OR ANY RELIANCE PLACED UPON THE SITE OR THE CONTENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. 7.2 WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE COMPANY SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, HOWSOEVER ARISING. 7.3 IF, NOTWITHSTANDING THE FOREGOING, THE COMPANY IS HELD LIABLE TO THE USER OR TO ANY OTHER PERSON IN CONNECTION WITH THE SITE OR THE CONTENT, THE AGGREGATE LIABILITY OF THE COMPANY SHALL NOT EXCEED THE SUM OF ONE HUNDRED UNITED STATES DOLLARS (USD 100), OR THE EQUIVALENT THEREOF IN ANY OTHER CURRENCY AS DETERMINED BY THE COMPANY IN ITS REASONABLE DISCRETION. 7.4 THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTWITHSTANDING THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SECTION 8. INDEMNIFICATION. 8.1 The User shall indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, contractors, and successors and assigns, from and against any and all claims, demands, actions, proceedings, losses, damages, costs, expenses (including reasonable attorneys' fees), and liabilities of any kind arising out of or in connection with: (a) the User's access to or use of the Site or the Content; (b) any breach by the User of these Terms; (c) any infringement or alleged infringement by the User of any right of any third party; and (d) any unlawful, fraudulent, or wrongful act or omission of the User in connection with the Site. 8.2 The Company reserves the right, at the User's expense, to assume the exclusive defence and control of any matter for which the User is required to indemnify the Company hereunder, and the User shall cooperate with such defence and control as the Company may reasonably request. SECTION 9. THIRD-PARTY LINKS AND RESOURCES. 9.1 The Site may from time to time contain links to, or otherwise reference, websites, resources, or services operated by third parties. 9.2 Such links and references are provided for the convenience of the User only and do not constitute an endorsement, sponsorship, affiliation, or recommendation by the Company. 9.3 The Company shall not be responsible for the availability, accuracy, content, conduct, or practices of any such third-party website, resource, or service, and the User's access to or use of any such third-party website, resource, or service shall be governed by the terms and policies of the third party concerned and shall be at the User's own risk. SECTION 10. PRIVACY. 10.1 The processing by the Company of Personal Information in connection with the Site is governed by the Website Privacy Notice published by the Company, as the same may exist from time to time. 10.2 By accessing or using the Site, the User acknowledges and agrees to such processing in accordance with the said Website Privacy Notice. 10.3 The processing by the Company of Personal Information in connection with communications conducted through messaging platforms is governed by a separate notice and is not within the scope of these Terms. SECTION 11. SUSPENSION AND TERMINATION. 11.1 The Company may, in its sole and absolute discretion, suspend, restrict, or terminate the User's access to the Site, in whole or in part, at any time and from time to time, with or without notice and with or without cause. 11.2 Termination of access shall not affect any right or remedy of the Company that has accrued prior to such termination, nor any provision of these Terms which by its nature is intended to survive termination, including without limitation the provisions of Sections 4, 6, 7, 8, 12, and 13. SECTION 12. GOVERNING LAW AND JURISDICTION. 12.1 These Terms, and any dispute or claim arising out of or in connection with them or with the User's access to or use of the Site, shall be governed by and construed in accordance with the laws of the Co-operative Republic of Guyana, without giving effect to any choice-of-law or conflict-of-laws rules that would result in the application of the laws of any other jurisdiction. 12.2 The User irrevocably submits to the exclusive jurisdiction of the courts of the Co-operative Republic of Guyana in respect of any such dispute or claim, and waives any objection to the laying of venue in such courts on any ground. SECTION 13. GENERAL. 13.1 If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect. 13.2 No failure or delay by the Company in exercising any right or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise. 13.3 These Terms, together with the Website Privacy Notice and any other notice or policy referenced herein, constitute the entire agreement between the User and the Company with respect to the subject-matter hereof, and supersede all prior agreements, understandings, and representations, whether written or oral. 13.4 The User may not assign, transfer, or sublicense any of the User's rights or obligations hereunder without the prior written consent of the Company. The Company may assign these Terms, in whole or in part, to any person at any time without notice or consent. 13.5 Nothing in these Terms shall create any partnership, joint venture, agency, employment, or fiduciary relationship between the User and the Company. 13.6 These Terms are drawn up in the English language. In the event of any conflict between the English version and any translation thereof, the English version shall prevail. SECTION 14.
